Terms and Conditions of SDK License Agreement

 

本SDK许可协议(“许可协议”)是您(个人或单一法律实体)与深圳市创必得科技有限公司(“创必得”)之间有法律约束力的协议｡本许可协议的标的是创必得的软件开发套件或软件开发套件插件(“SDK”)｡SDK包括计算机软件和文档,并可能包括示例代码､工具､授权密钥及更新｡

This SDK License Agreement (the “License Agreement”) is a legally binding agreement between you (as an individual or a single legal entity) and Shenzhen CBD Technology Co., LTD. ("CBD"). The subject matter of this Licensee Agreement is the software development kit or software development kit plug-in (the "SDK"). The SDK includes computer software and documentation, and may include sample codes, tools, authorization keys, and their updates.

1.定义Definition

“SDK”是指由创必得提供或使您获得的CTBSDK软件开发套件及其组件,连同相关的用户手册和文档｡创必得将在本协议生效后合理时间内,根据其判断确定通过何种介质将SDK交付给您｡

"SDK" refers to the CTBSDK software development kit and its components provided by or made available to you by CBD, together with the related user manuals and documents. CBD will decide the type of medium through which it delivers the SDK to you based at its discretion within a reasonable time after the entry into force of this Agreement.

“应用”是指根据本协议的条款和条件,经创必得同意由被许可方开发的基于个人电脑和移动通讯设备的应用程序｡

"Apps" refer to the applications based on personal computers and mobile communication devices developed by the Licensee with the consent of CBD in accordance with the terms and conditions of this Agreement.

“应用场景”是指经创必得同意您将在何种范围内以何种方式使用“SDK”｡

"Application Scenario" refers to the scope and method that you will use the "SDK" with the consent of CBD.

“竞业企业”是指与创必得的业务有实际或潜在的竞争关系及业务冲突的企业,包括但不限于:3D打印软件或3D打印主板控制系统的开发者､运营者及投资者｡

"Competing Companies" refer to the companies that have actual or potential competitive relationships and business conflicts with CBD's business, including but not limited to developers, operators and investors of 3D printing software or 3D printing motherboard control system.

“盈利主体”是指直接或间接使用SDK实际或预期进行盈利的个人或组织。直接或间接使用SDK进行盈利的行为包括但不限于：直接或通过第三方售卖或许诺售卖SDK及包含SDK的软件，以收费或获取其他回报的形式向第三方授权的SDK或包含SDK的软件。

"Profit Entity" refers to an individual or organization that uses the SDK for actual or expected profit directly or indirectly. The direct or indirect use of the SDK for profitability includes but is not limited to: to sell or promise to sell the SDK and software containing the SDK directly or through a third party, and to license the SDK or software containing the SDK to a third party for a fee or other returns.

“非盈利主体”是指不属于上述盈利主体范围内的个人或组织。

"Non-profit Entity" refer to those individuals or organizations who are not within the scope of the above-mentioned Profit Entities.

“创必得设备”是指创必得网站(http://www.cbd-3d.com/，www.chitusystems.com)上所列的创必得产品，以及由创必得直接开发并对外销售的产品，以及由第三人经由创必得明确授权开发的产品。

"CBD Devices" refer to the CBD products listed on the CBD website (http://www.cbd-3d.com/, www.chitusystems.com), those products directly developed and sold by CBD, as well as the products developed by third parties expressly authorized by the CBD.

2.接受Acceptance

为使用SDK,您必须首先同意本许可协议｡您:(1)签署本协议;或(2)下载或使用SDK,即表明您同意本许可协议的所有条款和条件｡如果您不接受本许可协议,您不得使用SDK｡

In order to use the SDK, you must first agree to this License Agreement. Your (1) signing this Agreement; or (2) downloading or using the SDK indicates that you agree to all the terms and conditions of this License Agreement. If you do not accept this License Agreement , you must not use the SDK.

如果您所在的或拟使用SDK的国家或地区,有相关法律规定禁止您接收或使用本SDK,则您不得使用本SDK,也不得接受本许可协议｡

If the country or region where you are located or intends to use the SDK has relevant laws prohibiting you from receiving or using this SDK, you must not use this SDK or accept this License Agreement.

如果您将在您组织内部使用SDK,您同意将代表您的雇主或组织受本许可协议的约束,并且您陈述和保证您有充分的法律权限,代表您的雇主或组织接受本许可协议,使您的雇主或组织受本许可协议的约束｡如果您没有上述必要权限,您不得代表您的雇主或组织接受本许可协议或使用SDK｡

If you use the SDK within your organization, you agree to be bound by this License Agreement on behalf of your employer or organization, and you shall represent and warrant that you have sufficient legal authority to accept this License Agreement on behalf of your employer or organization, so that your employer or organization shall be bound by this License Agreement. If you do not have the necessary authority described above, you must not accept this License Agreement or use the SDK on behalf of your employer or organization.

3.授予有限许可Granting of Limited License

根据本许可协议的条款和条件,创必得授予您一个有限､可终止､不可转让和非排他的许可和权利,据此您可以在本协议规定的期限内,仅限于为下列目的使用SDK: (a)依照SDK的使用规范,将其与您的应用程序合并;(b)使您的应用程序能够与指定的创必得生产或授权开发的设备获得的数据结合使用;以及(c)仅限于以目标代码形式作为您的应用程序的组成部分分发示例代码(无论是否是经过修改的或者仅仅是部分的)或本SDK的任何部分｡(d)经由创必得同意的其他应用场景｡

Under the terms and conditions of this License Agreement, CBD grants you a limited, terminable, non-transferable, and non-exclusive license and right, whereby you can use the SDK for the following purposes within the period specified in this Agreement: ( a) Combine it with your application in accordance with the SDK's usage specifications; (b) enable your application to be used in conjunction with the data obtained by the designated CBD production or authorized devices; and (c) limited to distribute sample code (whether modified or only partial) or any part of this SDK as an integral part of your application in the form of object code. (d) Other application scenarios agreed by CBD.

4.其他应用场景的确认Confirmation of Other application Scenarios

在本协议签订前及签订过程中,您可以通过创必得认可的书面形式向创必得申请您所需求的SDK应用场景｡创必得将审核这些应用场景,并将创必得审核同意的应用场景通过指定的邮箱(consult@chitubox.com)发送给您｡

Before signing this Agreement and during the signing process, you may apply with CBD for the SDK application scenarios needed in a written form acknowledged by CBD. CBD will review these application scenarios, and send the application scenarios approved by CBD to you through the designated mailbox (consult@chitubox.com).

在本协议生效后,您可以通过创必得认可的书面形式向创必得追加申请您所需求的SDK应用场景｡创必得将审核这些应用场景,并将创必得审核同意的应用场景通过指定的邮箱(consult@chitubox.com)发送给您｡

After this Agreement comes into effect, you may apply with CBD for the SDK application scenarios needed in a written form acknowledged by CBD. CBD will review these application scenarios, and send the application scenarios approved by CBD to you through the designated mailbox (consult@chitubox.com).

您收到的任何未通过指定邮箱(consult@chitubox.com)发送的应用场景描述、解释或其他信息均不属于创必得对应用场景的确认或同意。

Any application scenario description, explanation or other information you receive that is not sent via the designated email address (consult@chitubox.com) is not an acknowledgement of or Agreement to the application scenario by CBD.

5.限制和义务Restrictions and Obligations

除非(且仅限于)本许可协议另有明确许可,否则您不得(也不得允许任何第三方):
(a)使用SDK开发或处理任何非用于支持创必得设备的应用程序,或开发其他SDK;(b)对SDK的全部或任何部分进行复制(为备份存档目的除外)､修改､反向工程､反编译或反汇编,或将SDK并入任何其他软件程序;(c)将SDK或的任何部分出借､出租､传递､分许可､销售､转让或分发给任何第三方;(d)为任何第三方提供访问与SDK全部或部分功能相同或类似的应用程序设计接口的能力;(e)如果您是创必得的竞业企业的话,为监测性能或功能或为确立基准或其他竞争目的获得SDK许可;(f)移除､改变或隐藏SDK及其相关文档的任何版权､商标权等专属权利通告,并且您同意在SDK及其任何文档的拷贝上包含所有此类权利通告;(g)改变､禁用或绕开任何对SDK使用进行限制的许可或控制功能;或(h)为其他非本许可协议明确允许的目的使用SDK｡

Unless permitted otherwise (and limited to) in this License Agreement expressly , you may not (and shall not allow any third parties):

(a) Use the SDK to develop or process any application that is not used to support CBD devices, or develop other SDK; (b) copy all or any part of the SDK (except for the purpose of backup and archive), modification, and reverse engineering，decompile or disassemble, or incorporate the SDK into any other software program; (c) lend, rent, transfer, sublicense, sell, transfer or distribute any part of the SDK or any third party; (d) provide any third party with the ability to access application design interfaces that are the same or similar to all or part of the SDK; (e) if you are a competing company, obtain the SDK for monitoring performance or functions or for establishing benchmarks or other competitive purposes; (f) remove, change or hide any copyright, trademark rights and other exclusive rights notices of the SDK and its related documents, and you agree to include all such rights notices on the copy of the SDK and any of its documents; (g) change, disable or bypass any licensing or control functions that restrict the use of the SDK; or (h) use the SDK for other purposes not expressly permitted by this License Agreement.

你属于非盈利主体的情况下，您可以免费使用SDK。创必得将在签订本协议前及签订本协议后核查您的是否属于盈利主体，创必得可能需要向您收集必要的信息以确认您属于非盈利主体。您向属于盈利主体的雇主或组织提供SDK的行为，也会被创必得判定为您不属于非盈利主体。

If you are a non-profit entity, you can use the SDK for free. CBD will verify whether you are a profit entity before and after signing this Agreement. CBD may need to collect necessary information from you to confirm that you are a non-profit entity. Your act of providing the SDK to an employer or organization that is a profit entity will also be the basis on which CBD  determines that you are not a non-profit entity.

您同意仅为本许可协议及相关司法管辖区的相关法律､法规或广泛接受的实践或指导方针(包括任何有关数据或软件进出口管制的法律)允许的目的使用SDK开发与创必得设备结合使用的应用｡您同意您将对任何通过您的应用获取､处理､传输､显示或存储的数据自行负责(创必得将不就此对您及任何第三方负责)｡

You agree to use such applications combining SDK development and CBD devices only for purposes permitted by this License Agreement and relevant laws, regulations, or widely accepted practices or guidelines (including any laws related to data or software import and export control). You agree that you will be responsible for any data obtained, processed, transmitted, displayed or stored through your application (CBD will not be responsible for you and any third parties for this).

6.所有权和版权Ownership and Copyright

6.1您承认SDK是根据本许可协议许可使用而非销售｡您同意创必得或第三方拥有SDK中包含的以及与之相关的所有法律上的权利､所有权和权益,包括存在于SDK中的任何知识产权权利｡“知识产权权利”是指受世界上各个司法管辖区有关专利､版权､商业秘密､商标及其他专属权保护相关法律承认的任何和所有权利｡本许可协议并未授予您有关本SDK中任何物项的任何专利､版权､商业秘密､商标或其他权利｡本许可协议的任何内容均不得被理解为授予您使用任何创必得名称､商标､标识､域名或其他独特品牌特征的权利｡您同意保护SDK任何模块或其任何部分中的创必得或第三方的任何版权或其他所有者权益｡未明确授予您的权利全部由创必得保留｡

You acknowledge that the SDK is licensed for use and not for sale under this License Agreement. You agree that CBD or a third party owns all legal rights, ownership and rights contained in and related to the SDK, including any intellectual property rights existing in the SDK ."Intellectual property rights" means any and all rights recognized by the relevant patents, copyrights, trade secrets, trademarks and other exclusive rights in various jurisdictions in the world. This License Agreement does not grant you any patent, copyright, trade secret, trademark or other rights of the item. Nothing in this License Agreement shall be construed as granting you the right to use any CBD name, trademark, logo, domain name or other unique brand features. You agree to protect any copyrights or other owner rights of any module or any part of the SDK or third parties. All rights not expressly granted to you are reserved by CBD.

7.期限和终止Term and Termination

7.1 期限｡本许可协议将自生效日起生效并将持续适用直至根据本协议第7条终止(“期限”)｡

Term. This license Agreement will be effective from the Effective Date and will continue to apply until being terminated in accordance with Article 7 of this Agreement (the "Term").

7.2 终止｡如果:(a)您进入破产或清算程序或为债权人的利益被转让或托管;(b)根据创必得合理判断,您侵犯或滥用创必得的知识产权或违反本许可协议,或正在以可能损害SDK的方式使用SDK;(c)如果我们收到任何传票､法庭命令或其他执法机关的其他要求；或(d)如果我们收集到任何您不属于非盈利主体的信息，我们可以立即通知您终止本许可协议；本许可协议一经终止,您必须(a)停止使用SDK;(b)销毁或返还SDK的所有复制件;以及(c)停止分发您的应用｡除第3条(授予限许可)外,本许可协议的所有规定均应继续有效｡

Termination. If:(a) you enter the bankruptcy or liquidation proceedings or are transferred or taken over for the benefit of creditors; (b) in accordance with the reasonable judgment of CBD, you have infringed upon or abused CBD’s intellectual property rights or breached  this License Agreement, or are using the SDK in a way that may damage the SDK; (c) if we receive any subpoenas, court orders or other demands from other law enforcement agencies; or(d) if we have collected any information that you are not a non-profit entity, we can immediately notify you to terminate this License Agreement. Once this License Agreement is terminated, you must (a) stop using the SDK; (b) destroy or return all copies of the SDK; and (c) stop distributing your application. Except for Article 3 (Granting of Limited License), all provisions of this License Agreement shall survive .

7.3 暂停｡如创必得有合理理由认为您或任何获得了SDK的第三方正在通过您的应用从事:(a)拒绝服务攻击､发送垃圾邮件或任何可能对创必得､创必得的系统或任何第三方的系统造成伤害的行为;或(b)任何欺诈或非法活动,或任何可能导致创必得或任何第三方承担法律责任的活动,则创必得可以根据其自己的判断,决定暂停您(或某个最终用户,如果适用的话)对SDK的使用｡任何此类暂停将持续直至引发此类暂停的事由已经得到有效纠正或直至创必得收到了此类事件将不会再发生的保证｡

Suspension. If CBD has reasonable grounds to believe that you or any third party who has obtained the SDK is engaged in the following actions through your application: (a) service denial attack, sending spam emails, or any behavior that may damage CBD, the system of the CBD or any third party system; or (b) any fraud or illegal activity, or any activity that may cause CBD or any third party to assume legal responsibility, CBD may decide to suspend your (or a certain end user, if applicable) use of the SDK based at its discretion. Any such suspension will continue until the cause of such suspension has been effectively corrected or until CBD receives a guarantee that such an event will not occur again.

7.4 终止的效果｡本协议因任何原因终止后,您应立即停止使用､向创必得返还或销毁或删除所有电脑､硬盘､网络及其他存储介质中由您持有的SDK 及保密信息(见下面标题为“保密”条款的定义)的所有副本,并向创必得提供上述行为已经完成的证明｡本协议中那些根据其性质应当延续其效力的条款在本协议终止或期满后应继续有效,此类条款包括但不限于标题为“陈述与保证”､“补偿”“保密”的条款｡除由创必得根据第7条终止或暂停本协议的情形外,如果在本协议项下开发的应用是在本协议终止前创作的且在本协议终止后继续由最终用户访问和使用,本协议与此类访问和使用相关的条款,在此类访问和使用期间将继续保持完全的效力｡

Effect of Termination. After this Agreement is terminated for any reason, you should immediately stop using and return or destroy or delete the SDK and the Confidential Information (as defined in the Confidentiality Clause below) held by you in all computers, hard disks, networks and other storage media, and provide the CBD with proof that the above actions have been completed. The clauses in this Agreement that should survive according to their nature shall continue to be effective after the termination or expiration of this Agreement. Such clauses include but are not limited to the clauses of "Representation and Warranties", "Compensation" and "Confidentiality". Except for the termination or suspension of this Agreement by CBD in accordance with Article 7, if the application developed under this Agreement is in this Agreement created before termination and continue to be accessed and used by the end user after the termination of this Agreement, the terms of this Agreement related to such access and use will continue to remain fully effective during such access and use.

8.核查Audit

在本协议期限内及本协议因任何原因终止后一(1)年内,创必得可以对您是否遵守本协议的规定进行审计核查,审计费用由创必得承担,但倘若审计发现您有严重违反本协议的情形,您应(不限制创必得的其他救济)对创必得的合理审计费用给予补偿｡审计应在正常营业时间内按双方商定的时间进行｡审核师可以审查,并且您应提供那些对于确定您是否遵守本协议项下的义务是合理和必要的业务记录｡在进行审计之前,创必得将要求执行审计的审计师签署合理的保密协议,审计结果和审计期间核查的所有信息均应被视为保密信息｡

During the Term of this Agreement and within one (1) year after the termination of this Agreement for any reason, CBD can audit and verify your compliance with the provisions of this Agreement. The audit fee shall be borne by CBD, but if the audit finds that you have seriously breached this Agreement, you should (without restricting CBD’s other remedies) compensate CBD for reasonable  audit fees. The audit should be conducted during normal business hours at a time agreed by both Parties. The auditor can review, and you should provide those that are necessary to determine whether you comply The obligation under this Agreement is reasonable and necessary business records. Before conducting the audit, the CBD will require the auditor performing the audit to sign a reasonable confidentiality Agreement. The audit results and all information verified during the audit shall be regarded as confidential information.

9.支持和更新Support and Update

创必得可根据其判断选择,在其确定的期限内,就SDK向您提供有限的支持服务｡创必得可以为包括产品支持和开发等业务目的使用您向创必得提供的任何技术信息､反馈或创意｡在本许可协议期限内,您应负责为您的应用程序提供支持和维护服务｡您应定期更新应用程序,使其至少包含创必得提供给您的最新版本的SDK｡

CBD can determine the limited support services with respect to the SDK within a determined period of time at its discretion. CBD can use any technical information, feedback or ideas provided by you to CBD for business purposes including product support and development. During the Term of this License Agreement, you are responsible for providing support and maintenance services for your application. You should regularly update the application to at least include the latest version of the SDK provided to you by CBD.

10.陈述和保证Representations and Warranties

10.1 您陈述､保证并承诺:(a)您有充分的权利､权力和授权签订本协议;(b)您将建立并始终贯彻实施与相关法律､法规和行业标准一致的安全措施,防止对SDK､任何保密信息以及与您使用SDK有关的其他信息未经授权的访问或披露;(c)应用将符合所有适用的法律､法规及标准;并且(d)您根据本协议提供的任何和所有材料以及应用程序均不侵犯或妨碍任何第三方的权利,包括知识产权和隐私权｡

You represent, warrant and undertake that (a) you have full rights, powers and authorization to sign this Agreement; (b) you will establish and always implement the security measures consistent with relevant laws, regulations and industry standards to prevent any damage to the SDK, and avoid unauthorized access or disclosure of the SDK, any confidential information, and other information related to your use of the SDK; (c) the application will comply with all applicable laws, regulations and standards; and (d) any and all materials you provide in accordance with this Agreement or the application itself do not infringe upon or hinder the rights of any third party, including intellectual property rights and privacy rights.

10.2 您明确知道并同意,本协议项下的SDK均“按现状”提供,不附带任何种类的保证,您对SDK的使用完全由您自行承担风险｡创必得进一步明确否认所有其他种类的保证和条件,无论是明示的还是默示的,包括但不限于有关适销性､适用于特定目的及不侵权的默示保证和条件｡创必得不保证本SDK的运行将不会中断或不存在任何错误,也不保证SDK将能够与任何产品､软件或硬件结合运行,或其不会导致任何数据丢失或损坏｡您对SDK及经由使用本SDK下载或通过其他方式获得的任何材料的使用,均完全基于您自己的判断,并由您自行承担相关风险｡您应自行负责对SDK进行验证,确认您获得和安装的SDK版本适用于您的操作系统､计算机硬件和周边设备｡

You are clearly aware and agree that the SDK under this Agreement are provided on an "as-is" without any kind of warranty. Your use of the SDK is entirely at your own risk. CBD further expressly denies all other kinds of warranties and conditions, whether express or implied, including but not limited to implied warranties and conditions regarding merchantability, applicability to specific purposes and non-infringement. CBD does not guarantee that the operation of this SDK will be uninterrupted or free from any errors, that the SDK will be able to work in conjunction with any product, software or hardware, or that it will not cause any data loss or damage. Your use of the SDK and any materials downloaded by using this SDK or obtained by other means is entirely based on your own judgment at your own risk.  You should be responsible for verifying the SDK to confirm that the SDK version you have obtained and installed is suitable for your operating system, computer hardware and peripheral devices.

 

11.责任限制Limitation of Liability

您明确了解和同意,无论本许可协议其他条款有何种规定,在相关法律允许的最大范围内,创必得及其关联机构和许可方,对您使用SDK产生的后果在任何情况下均不承担任何责任,无论这些责任是因何导致的,以及基于何种诉因或何种责任原理,也无论是直接的､间接的､偶然的､特别的､结果性的或惩罚性损害赔偿责任,包括任何数据损失,无论创必得或其代表是否事先已经被告知或本应知道此类损失发生的可能性｡

You clearly understand and agree that notwithstanding any other provisions of this License Agreement, CBD, its affiliates or Licensors shall not bear any consequences for your use of the SDK under any circumstances to the maximum extent permitted by relevant laws, regardless of  the cause of these responsibilities, cause of action or liability principle, and regardless of direct, indirect, incidental, special, consequential or punitive damages, including any data loss, whether or not CBD or its representatives have been notified in advance or should have known the possibility of such loss.

12.补偿Indemnification

如因任何以下情形导致了任何第三方针对创必得､创必得关联机构或创必得供应商(统称为“被补偿方”)的任何索赔､调查､处罚､诉讼､法律程序或此类威胁(“索赔”):
(a)您分发的应用;(b)您违反任何陈述､保证或本许可协议的任何约定;(c)您的任何严重疏忽或故意行为;或(d)您对创必得任何保密信息的搜集､处理､存储､使用､传输或销毁,您同意为被补偿方提供抗辩,并对被补偿方因此导致的任何损失､损害､责任或其他费用(包括合理律师费)(“损失”)进行补偿,使被补偿方不受任何损失和损害｡您不得在未经创必得事先书面同意的情况下自行解决任何索赔,创必得不得不合理地拒绝或延误作出此类同意｡创必得有权自行承担费用委派其选择的法律顾问参与任何此类索赔的抗辩及和解解决｡

If any of the following circumstances leads to any third party's claims, investigations, penalties, litigation, legal proceedings or similar threats (the "Claims") against CBD, CBD affiliates or CBD suppliers (collectively referred to as the "Indemnitees "):

(a) the application distributed by you; (b) your breach of any statement, warranty or any agreement under this License Agreement; (c) any serious negligence or intentional behavior of you; or (d) your collection, processing, storage, use, transmission or destruction of any confidential information of CBD, you agree to defend and compensate the Indemnitees for any losses, damages, liabilities or other expenses (including reasonable attorney fees) (the "Losses") to hold them harmless against any Losses or damages. You may not settle any claim without the prior written consent of CBD, and CBD shall not refuse or delay in giving such consent unreasonably. CBD has the right to delegate its legal counsel at its own expense to participate in the defense and settlement of any such claims.

13.创必得开发CBD Development

您承认,创必得当前正在开发或未来可能开发与您基于本SDK所开发的应用具有相同或类似设计或功能的技术或产品｡本许可协议中的任何内容均不影响､限制或剥夺创必得继续开发､维护或分销创必得任何技术或产品的权利｡如果您拥有来源于本SDK或与之相关的任何专利,您同意您将不以任何方式基于该专利向创必得､创必得关联机构或其直接或间接客户､代理和分包商,就创必得任何产品的制造､使用､进口､许可､要约销售或销售主张任何权利｡

You acknowledge that CBD is currently developing or may develop in the future technologies or products with the same or similar design or function as the applications developed by you based on this SDK. Nothing in this License Agreement will affect, restrict or deprive the right of CBD to continue developing, maintain or distribute any technology or product of CBD. If you have any patents derived from or related to this SDK, you agree that you will not make any claims of any rights in any way against CBD, CBD affiliates or their direct or indirect customers, agents or subcontractors based on such patents with respect to the manufacture, use, import, license, offer or sale of any CBD products.

14.自由和开源组件Free and Open Source Components

不论本许可协议中是否有任何相反规定,对基于自由和开源许可协议许可的SDK组件的使用､复制和分发,仅受这些自由和开源许可协议条款的约束,本许可协议条款将不适用于此类组件｡相关自由和开源许可协议内容包含在SDK附带的电子文件中｡就此类开源软件许可及所授予的所有权利,您同意将保持作为被许可方的良好信誉,并避免从事任何可能终止､暂停或违反此类权利的行为｡

Notwithstanding any provisions to the contrary in this License Agreement, the use, copying and distribution of the SDK components licensed under the free and open source license agreement are only subject to the terms of these free and open source license agreements, and the terms of this License Agreement shall not apply to such components. The relevant free and open source license agreements are contained in the electronic files attached to the SDK. Regarding such open source software licenses and all rights granted, you agree to maintain a good reputation as a Licensee and avoid any possible termination, suspension or infringement of such rights.

您未被许可(并且您同意将不会)将本SDK与任何病毒性开源许可软件结合或与此类软件共同使用,或采取其他任何可能被要求以开源代码形式披露､分发或许可本SDK或API的全部或其任何部分的行为｡为本条款的目的,“病毒式开源许可”是指基于“GNU普通公共许可证”“GNU缩减普通公共许可证”或任何其他类似许可证授予的许可,此类许可证要求您使用､修改或分销此类软件时,不得收取费用,或必须以开源代码形式对软件进行披露､分销或许可｡如您有任何违反前述条款的行为,本许可协议项下授予您的有关本SDK的许可和其他权利均将立即终止｡

You are not licensed (and you agree that you will not) combine this SDK with any viral open source licensed software or use it in conjunction with such software, or take any other forms that may be required to disclose, distribute or license this SDK or The behavior of all or any part of the API. For the purpose of these terms, "viral open source license" refers to the license granted based on the "GNU General Public License", "GNU Reduced General Public License" or any other similar license, This type of license requires you to use, modify or distribute such software without charging fees, or you must disclose, distribute or license the software in the form of open source code. If you have any violation of the foregoing terms, under this license Agreement The license and other rights granted to you regarding this SDK will be terminated immediately.

15.保密Confidentiality

15.1 保密信息｡您可能会不时接收到由创必得提供的或被允许接触到创必得的任何属于保密性质的信息,包括但可能不限于,本SDK､产品信息､数据､定价､财务信息､用户信息､软件､规格､研发和专有算法或其他材料,这些材料将会:(a)被清楚和明确地标识为“保密”或带有其他类似指示;或(b)由创必得以适当方式披露,而您理应明白,在该环境下所披露的信息应当被视为保密信息,无论是否特别标识为“保密”或带有其他类似指示｡本协议的条款和条件同样构成保密信息｡为避免任何疑问,创必得的保密信息包括应用数据｡

Confidential Information. You may receive or be permitted to access any confidential information provided by CBD from time to time, including but may not be limited to this SDK, product information, data, pricing, financial information, user information, software, specifications, R&D and proprietary algorithms or other materials which are: (a)clearly and specifically marked as "confidential" or bearing other similar instructions; or (b) disclosed by CBD in an appropriate manner, and you should understand that the information disclosed in such circumstance should be regarded as confidential information, regardless of whether it is specifically marked as "confidential" or bearing other similar instructions. The terms and conditions of this Agreement also constitute confidential information. To avoid any doubt, The confidential information of CBD includes application data.

15.2 保密义务､除外｡您代表您自己及您的代理和员工同意,在任何情况下,您均不会在未经创必得事先书面同意的情况下,发布､披露或以其他方式泄露或为您自己的目的(本协议明确允许的除外)使用由创必得提供给您或允许您接触的创必得的保密信息｡您同意您将以至少与维护您自己的非公开信息保密性的同等谨慎,但无论如何不低于合理程度的谨慎,维护创必得的保密信息｡前述义务不适用于任何以下信息,如果这些信息:(a)在披露时已经,或在此后非因您的过错,因发布或其他原因进入了公知领域;(b)您在收到时已经由您正当且合法地持有,且对其不承担保密义务;(c)已经由对该信息不承担保密义务的第三方合法地披露给您;或(d)是您或您的独立分包商在未接触创必得保密信息的前提下自己独立开发的｡在您根据法院或政府命令或要求被要求披露保密信息的情况下,您应立即通知创必得,以便使创必得能够对此类命令或要求提出异议,或为此类信息寻求做保密处理｡

Confidentiality Obligations and Exceptions. You, on behalf of yourself and your agents and employees, agree that will you not publish, disclose or otherwise leak , or use for your own purpose the confidential information provided to you or allowed to access by CBD without the prior written consent of the CBD (except as expressly permitted under this Agreement). You agree that you will maintain the confidentiality at least with the same caution in treating your own non-public information, but in any case no less than a reasonable degree of caution in maintaining the confidential information of CBD. The foregoing obligation does not apply to any of the following information, i.e., if the information: (a) has been disclosed at the time of disclosure, or enters public domain not due to your fault thereafter; (b) you have been legally and properly hold such information at the time of receiving it, and you are not under the obligation of confidentiality to such information; (c) the information has been legally disclosed to you by a third party who does not bear the obligation of confidentiality; or (d) it is independently developed by you or your independent subcontractor without access to the confidential information of CBD. In the case that you are required to disclose the confidential information according to court or government orders or requirements, you should immediately notify CBD, so that the CBD can challenge such orders or requests, or seek confidential treatment of such information.

15.3 保密信息销毁｡一旦您不再需要为履行本协议的目的使用任何保密信息,您应立即将您持有或控制的保密信息及其任何形式的副本返还给创必得,或以妥善方式销毁上述保密信息及副本,并以书面形式向创必得提供销毁证明｡

Confidential Information Destruction. Once you no longer need to use any confidential information for the purpose of fulfilling this Agreement, you shall immediately return the confidential information held or controlled by you and any form of copy to CBD, or destroy the aforementioned confidential information and its copies in a proper manner, and provide written proof of destruction to CBD.

16.反馈Feedbacks

如果您就SDK向创必得提供了任何意见､错误报告､反馈､改进或修改建议(“反馈”),此类反馈均在非保密状态下提供(无论您是否在相关沟通交流时是否包含了相反的通知),创必得将有权根据其判断使用此类反馈,包括但不限于,根据此类反馈对创必得SDK及相关文档进行修改｡您在此授予创必得一个永久､不可撤销､可转让､可分许可､非排他的基于所有必要权利的许可,据此,创必得可以为包括生产和销售创必得设备在内的任何目的使用这些反馈｡

If you provide any comments, error reports, feedbacks, suggestions for improvement or modification (the "Feedbacks") on the SDK to the CBD, which are provided in a non-confidential status (regardless of whether you include notices to the opposite in the relevant communications or not.), CBD shall have the right to use such Feedbacks at its discretion, including but not limited to, modifying the SDK and related documents based on such Feedbacks. You hereby grant CBD a permanent, irrevocable, transferable, sublicensable  and non-exclusive license based on all necessary rights, whereby CBD can use these Feedbacks for any purpose including the production and sale of CBD Devices.

17. 隐私政策Privacy Policy

您确认在签署本协议之前已经详细阅读并同意了SDK相关的隐私政策。

在本协议生效后，创必得向您提供SDK的版本更新时，都会告知您查看并确认同意最新的隐私政策。您可以拒绝接受最新的隐私政策，您将不得使用更新后的SDK。若您拒绝接受最新的隐私政策，您仍可以继续使用未更新版本SDK，未更新版本的SDK遵循的隐私政策以您最后一次同意的隐私政策为准。

You confirm that you have read and agreed to the SDK privacy policy before signing this Agreement. After this Agreement comes into effect, CBD will ask you to view and confirm your consent to the latest privacy policy whenever it provides you with an updated SDK version. You can refuse to accept the latest privacy policy, in which case you will not be allowed to use the updated SDK. If you refuse to accept the latest privacy policy, you can still continue to use the old SDK version. The privacy policy applied to the old SDK version is the privacy policy you agreed to last time.

18.一般条款Miscellaneous

18.1 完整性｡本许可协议构成有关本许可协议各方之间就本许可协议标的达成的全部协议,并取代各方之间就本SDK任何此前或同时的任何沟通､协议和谅解,无论是口头的还是书面的｡如果包含在本SDK中的其他条款和条件与本许可协议不一致,本许可协议内容将优先于SDK中包含的其他条款适用｡对本许可协议条款的任何变更均对创必得无效,除非创必得以由其高级管理人员书面签署的方式明确表示同意｡如果本许可协议的任何被裁定为不可强制执行､非法或无效,其余条款将不受影响,并将保持继续具有完全和充分的效力｡

Entirety. This License Agreement constitutes the entire agreement between the Parties to this License Agreement on the subject of this License Agreement, and supersedes any previous or simultaneous communication, agreement and understanding between the Parties regarding this SDK, whether orally or in writing. If any other terms and conditions contained in this SDK are inconsistent with this License Agreement, the content of this License Agreement shall prevail over such other terms contained in the SDK. Any changes to the terms of this License Agreement shall be invalid for CBD, unless CBD expressly agrees in writing signed by its senior management. If any of this License Agreement is ruled to be unenforceable, illegal or invalid, the remaining clauses will not be affected and will continue to have full and sufficient effect.

18.2 管辖法律｡本许可协议由中华人民共和国大陆(不包括香港特别行政区､澳门特别行政区和台湾地区)法律管辖,不援引其任何法律冲突规则｡如因本许可协议发生任何争议,您同意选择创必得所在地具有相应管辖权的法院作为排他的争议裁决机构｡尽管有上述约定,您同意创必得仍然有权向任何有管辖区的法院申请禁令救济(或其他类似的紧急法律救济措施)｡

Governing Law. This License Agreement is governed by the laws of the People's Republic of China (excluding Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan), without regard to any of its conflict law rules. If any dispute arises with respect to this License Agreement, you agree to choose the local court with competent jurisdiction where CBD is located as the exclusive dispute resolution institution. Notwithstanding the aforesaid, you agree that CBD shall still have the right to apply for injunctive reliefs (or other similar emergent legal remedies) to any court with jurisdiction.

18.3 转让｡未经创必得事先书面同意,您不得将本许可协议移交或转让给他人,并且任何未经此类事先同意的转让企图均未无效｡未经创必得事先书面同意,您不得将您在本许可协议项下的职责或义务转委托给他人代为履行｡创必得可以不经通知,不受限制地将本许可协议转让或分包给任何第三方｡为此目的,本许可协议将对这些第三方及其相应的承继人和允许的受让方均具有约束力｡

Assignment. Without the prior written consent of CBD, you may not transfer or assign this License Agreement to others, and any attempt to transfer without such prior consent is not invalid. Without the prior written consent of CBD, you may not transfer your responsibilities or obligations under the License Agreement to others for performance on your behalf. CBD may transfer or subcontract this License Agreement to any third party without notice and without restriction. For this purpose, this License Agreement shall bind on such third parties and their respective successors and permitted transferees.

18.4 弃权｡创必得､其代理或员工的任何行为或默认,均不得被视为是对本许可协议任何条款的弃权,此类弃权只能由创必得高级管理人员以书面正式签署的文件形式作出｡

Waiver. Any action or default of CBD, its agents or employees, shall not be regarded as a waiver of any clause of this License Agreement, and such waiver can only be made by the senior management of CBD in the form of a written document officially signed.

18.5 第三方权利｡本许可协议无意为非当事人的任何人士创设任何权利,非本许可协议当事人的任何人士也不得强制执行本许可协议的任何条款,或依赖本许可协议中的任何排除和限制｡

Third Party Rights. This License Agreement does not intend to create any rights for anyone who is not a party to this License Agreement, and any person who is not a party to this License Agreement may not enforce any terms of this License Agreement or rely on any exclusions and restrictions in this License Agreement.

18.6 进出口限制｡在本许可协议项下交付给您的本SDK可能受中国､中国参加的国际组织以及本SDK相关技术的开发､访问､使用或获得地国家或地区进出口法律的限制｡许可方同意遵守这些限制并承诺将这些限制通过有效方式约束许可方的客户,是许可方获得这些相关技术的前提条件,违反这些限制可能会使许可方遭受重大损失,为此,作为许可方同意与您达成本协议的必要前提条件,您应遵守所有适用于本SDK的相关进出口管制法律､法规或规定｡您确认您并非位于任何禁运的国家或地区或属于此类国家或地区的居民,也并非受控于任何因进出口管制而本禁止接受本SDK的人士或实体;您不得将本SDK的部分或全部(无论是否并入您的应用)出口､再出口或转移至任何此类禁运的国家或地区,或允许此类禁运国家或地区的任何人士或实体使用｡

Import and Export restrictions. The SDK delivered to you under this License Agreement may be subject to restrictions by the import and export laws of China, international organizations that China participates in, and the countries or regions where the relevant technologies of the SDK is developed, accessed, used or obtained. The Licensor’s consent to abide by these restrictions and promise to restrict its customers in an effective way are a prerequisite for the Licensor to obtain these related technologies, the violation of which may cause the Licensor to suffer significant losses. For this reason, as a condition precedent for the Licensor to enter into this Agreement with you, you shall comply with all relevant import and export control laws, regulations or regulations applicable to this SDK. You confirm that you are not located in any embargoed country or region or are a resident of such a country or region, or controlled by any person or entity that is prohibited from accepting this SDK due to import and export controls; you may not export, re-export or transfer part or all of this SDK (whether integrated into your application or not) to any such embargoed country or region, or allow any person or entity in such an embargoed country or region to use it.

18.7 可分割｡如果本协议的任何条款被认定为无效或不可强制执行,那么:(a)此类条款应被视为已经在必要限度内被修改,使其足以有效和可强制执行;如果此类修改不可行,则此类条款应被视为从本许可协议中删除;并且(b)本协议所有其他条款的有效性和可执行性,不应因此而受到任何影响或损害｡

Severability. If any clause of this Agreement is determined to be invalid or unenforceable, then: (a) such clause shall be deemed to have been modified to the extent necessary, which is sufficient to make it valid and enforceable; if such modification is not unfeasible, such clause shall be deemed to have been deleted from this License Agreement; and (b) the validity and enforceability of all other clauses of this Agreement shall not be affected or impaired in any way.

18.8 标题和副本｡本补充协议中所使用的标题仅为阅读方便的目的而设,将不被视为本协议的组成部分｡如本补充协议以线下方式签署,则本许可协议可由各方分别签署若干副本,每份副本均被视为原件,每份副本放在一起时将被视为一个完整的合同｡

Title and Counterparts. The title used in this Supplementary Agreement is only for the convenience of reading, which shall not be regarded as a part of this Agreement. If this Supplementary Agreement is signed offline, this License Agreement can signed by the Parties separately in a number of counterparts, each of which shall regarded as an original, and all counterparts putting together shall be regarded as a complete contract.

18.9作准文本。本协议以中文、英文书就，两种文本同等作准。如有分歧，以中文文本为准。

Prevailing Text. This Agreement is written in Chinese and English, both of which have the same legal effects. In case of any discrepancies, the Chinese version shall prevail.
